These Terms and Conditions ("Terms") govern your ("Customer," "you," or "your") use of the services, including APIs and platforms, provided by ESAAS TECHNOLOGIES PVT LTD ("we," "us," or "Service Provider") through our website www.paykraft.com, mobile app, or other services (collectively, the "Services"). By accessing or using our Services, you agree to these Terms

Definitions

Access Key & SALT: Confidential keys, including developer ID, certificate ID, application ID, username, or password, required to access the Services in staging or production environments.

API: Application Programming Interfaces and related documentation provided by us for your use under these Terms

Applicable Laws: All laws, regulations, and rules applicable to the parties, including those enforced by regulatory authorities like UIDAI, RBI, SEBI, or IRDA

Response Data: API response indicating success (with requested fields) or failure (with error details).

Services: Access to APIs and other services specified in your agreement with us

Subscription Plan: The pricing, features, and usage limits selected by you for the Services.

Access and Use of Services

License: We grant you a limited, non-exclusive, non-transferable license to access and use the Services and APIs during the term of your agreement, subject to these Terms

Restrictions: You shall not:

• Reverse engineer, decompile, or copy the APIs or Services.
• Share Access Keys with third parties without our prior written consent.
• Use the Services for prohibited use cases, including gambling, chit funds, casinos, multilevel marketing, ponzi schemes, or other speculative activities.

Compliance: You must comply with all Applicable Laws, including the Information Technology Act, 2000, and regulations related to data security, storage, and processing.

Subscription Plans and Payments

Subscription Plans: Your access to Services depends on the Subscription Plan you select. We may modify plan features, pricing, or options without notice, effective from your next subscription term

Recurring Charges: You authorize us to charge your payment method (e.g., credit card) on a recurring basis (monthly, quarterly, or yearly) for subscription fees, usage/overages, and applicable taxes (e.g., GST). Charges continue until you cancel your subscription or the term ends.

Upgrades: If you exceed your plan’s usage limits, we may automatically upgrade you to a higher plan, and you agree to pay the upgraded fees. All fees are non-refundable unless required by law.

Taxes: Fees exclude taxes. You are responsible for all applicable taxes (e.g., GST, VAT), except those based on our income. If tax deductions are required by law, you will adjust payments to ensure we receive the full agreed amount.

No Purchase Orders Required: You agree to pay all amounts without requiring purchase orders unless you notify us 30 days in advance, and we will cooperate to implement a billing process.

No Refunds: Subscription, usage, or upgrade fees are non-refundable, except where required by law. Cancellations take effect at the end of the current subscription term, after which you may be downgraded to a free plan.

Beta Releases and Free Access

Beta Releases: We may offer Services or features as “alpha,” “beta,” or trial versions (“Beta Releases”) on an “as is” basis without warranties, support, or liability. We may terminate access to Beta Releases at our discretion.

Free Access Subscriptions: Free or trial subscriptions are provided “as is” without warranties or obligations. We may terminate free access at any time without liability

Intellectual Property

All rights, title, and interest in the Services, APIs, and related intellectual property belong exclusively to us. These Terms do not grant you any additional rights beyond the limited license to use the Services.

Confidentiality

You must protect the confidentiality of Access Keys and login credentials. Unauthorized use may cause significant harm to us, and you agree to implement measures to prevent misuse.

Data and Compliance

Indian Data Centers: If you signed an agreement with our Indian entity, all data will flow through our Indian data centers to comply with local regulations

Cooperation: You agree to cooperate fully in any fraud or dispute investigations, providing access to records, premises, or personnel as needed.

Payments and Chargebacks

Payment Processing: We are not responsible for disputes between you and your end-users (e.g., regarding product quality, delivery, or pricing) or delays in payment delivery caused by third parties (e.g., banks).

Chargebacks: A chargeback occurs if a transaction is uncollectible or returned due to issues like defective products, unsuccessful transactions, or alleged security breaches. We will notify you of chargebacks, and you must approve or reject them with proof of service delivery. Refunds are handled by you, not us.

Settlement: We will settle transaction amounts (net of deductions) to your account within two bank working days after transaction completion, provided we receive the requisite funds from banking partners.

Liability and Indemnity

Our Liability: We are not liable for direct, indirect, incidental, or consequential damages arising from your use of the Services or interactions with end-users, even if advised of such possibilities.

Your Indemnity: You agree to indemnify us against claims arising from your actions, end-user disputes, or misuse of the Services.

Our Indemnity: We will indemnify you against claims from unauthorized access to your systems or data by our contractors or employees, limited to the total invoiced value for the relevant month.

Force Majeure

Neither party is liable for delays or non-performance due to events beyond their control (e.g., natural disasters, war, or government actions). The affected party must notify the other, and performance is suspended for up to 90 days. If unresolved, either party may terminate the agreement
